ELM Terms of Service

Welcome to Ethical Language Management (“ELM”, “we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of our website, platform, tools, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you are using ELM on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

1. Overview

ELM provides language-intelligence tools that help organizations assess inclusivity, brand safety, clarity, and communications performance across digital channels. We focus on ethical AI, transparent data use, and secure Canadian data storage.

By using ELM, you agree to use the Services responsibly, ethically, and in compliance with all applicable laws.

2. Eligibility

You must be at least 16 years old to use the Services. If you are using ELM on behalf of an organization, you must have the authority to accept these Terms on their behalf.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current information

  • Keep your login credentials secure

  • Notify ELM immediately of any unauthorized use

You are responsible for all activity under your account.

4. Acceptable Use

You agree not to use the Services to:

  • Upload or transmit unlawful, harmful, defamatory, harassing, or discriminatory content

  • Attempt to reverse engineer, copy, or replicate the Services or underlying algorithms

  • Interfere with system integrity, security, or performance

  • Scan or analyze content you do not have the rights or permission to submit

  • Use ELM to generate content intended to mislead, harm, or discriminate

You also agree not to attempt unauthorized access to ELM systems or data.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Uploaded Content and Data Ownership

Your Content Belongs to You

Any text, URLs, documents, or content you submit to ELM (“User Content”) remains your property or the property of your organization.

How ELM Uses Your Content

You grant ELM a limited license to:

  • Process and analyze User Content in order to provide the Services

  • Temporarily store User Content as required for system functionality

We do not use User Content to train public or external AI models.
We do not sell, publish, or share User Content with third parties.

6. Aggregated and Anonymized Data

ELM may use aggregated, anonymized data to:

  • Improve platform accuracy and performance

  • Develop new features

  • Monitor usage and system health

This data contains no identifiable personal or organizational information.

7. Intellectual Property

The ELM platform, tools, algorithms, interface, and all related intellectual property are owned by Ethical Language Management and protected by copyright, trademark, and other laws.

You may not copy, resell, redistribute, or create derivative works from the Services without explicit written permission.

8. Payment and Billing

Certain ELM features may require a paid subscription. By purchasing a subscription, you agree to:

  • Pay all associated fees

  • Allow charges through our secure third-party payment processor

  • Maintain accurate billing information

Subscription fees are non-refundable unless otherwise specified in a written agreement.

Prices are subject to change with reasonable notice.

9. Availability and Service Levels

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. Planned maintenance, upgrades, or unexpected outages may impact access.

For enterprise or government clients, service level agreements may be provided separately.

10. Third-Party Services

ELM may integrate with or link to third-party tools or sites. We do not control or assume responsibility for third-party services. Use of such services is at your own risk and governed by their own terms.

11. Termination

We may suspend or terminate your account if:

  • You violate these Terms

  • You misappropriate the platform or its data

  • You attempt to compromise system security

You may terminate your account at any time by contacting us at hello@ethicallanguage.com.

Upon termination:

  • You retain ownership of your content

  • We may retain aggregated, anonymized data

  • Access to your account and features will cease

12. Disclaimer of Warranties

ELM is provided “as is” and “as available.”
We do not guarantee:

  • That results will be error-free

  • That the platform will detect all harmful or biased language

  • That the Services will always be available or uninterrupted

ELM is a tool intended to support human decision-making — not replace it.

13. Limitation of Liability

To the fullest extent permitted by law, ELM is not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, data, or business opportunities

  • Decisions made based on platform results

Our total liability will not exceed the amount paid for Services in the previous 12 months.

Some jurisdictions may not allow certain limitations; those rules take precedence where applicable.

14. Indemnification

You agree to indemnify and hold ELM harmless from any claims, losses, or damages arising from:

  • Your misuse of the Services

  • Your violation of these Terms

  • The content you upload or analyze

15. Governing Law

These Terms are governed by the laws of Saskatchewan and the applicable laws of Canada, without regard to conflict-of-law principles.

Any disputes will be resolved in the courts of Saskatchewan.

16. Changes to These Terms

We may update these Terms to reflect changes in technology, regulation, or business practices. When we do, the “Last updated” date will change. Where required, we will notify users of significant changes.
